Mazur Ivanusa, LLC recently acted on two significant matters involving international clients demonstrating firm’s expertise in complex Ukrainian legal and regulatory frameworks.
In one mandate, the firm successfully advised French beneficiaries on the establishment of a charitable foundation in Ukraine. A key feature of this assignment was that the foundation’s planned activities included not only traditional not-for-profit operations, such as providing social assistance, but also certain commercial activities, such as technical testing. Drawing on Ukrainian legislation that permits charitable organisations to engage in commercial activities provided they do not aim to generate profit, Mazur Ivanusa’s lawyers persuaded the Ukrainian tax authorities to grant the foundation non-profit status for tax purposes.
In a separate transaction, Mazur Ivanusa advised an Israeli investor on the sale of part of its shares in a Ukrainian limited liability company engaged in dairy production. The firm supported the client through vendor due diligence, merger control considerations, and the full spectrum of other transactional matters.
