From the beginning of 2018, we have advised 9 international investors in the notes of Ukrainian issuers ranging from sovereign bonds to the notes issued by large Ukrainian corporate issuers from various industry sectors.
Our advice to the investors and sometimes, existing bondholders included providing our analysis of some of the key risk factors relating to Ukraine, risks relating to the issuers, risks associated with the relevant industries and most sensitive Ukrainian legal considerations addressed in the OCs. We have prepared for the investors and the bondholders a legal analysis of some of the sensitive risk factors, reviewed and analysed the Ukrainian law legal considerations as these are stated in various OCs describing current risks dealing with the Ukrainian currency control, assignment, set-off, surety, guarantee, taxation and other legal concerns affecting the investors from the Ukrainian law standpoint. In addition, we have advised several bondholders on the existing loan agreements and where relevant the restructuring proposals underlying the issues. Our advice often involved review of the trust deeds and the analysis of enforceability of certain terms thereof under Ukrainian law.
